Terms & Conditions
Non Refundable Deposit Agreement
Payment of the 25% deposit after the Client receives the initial indicative quote, which directs the Client to these Deposit Terms & Conditions, constitutes the Client’s acceptance of these Terms and engagement of BBVF on this basis, whether or not a separate signature is provided. The quote and these Terms must be read together. Payment does not make the quote a fixed or final Project Price and does not limit any rights that cannot lawfully be excluded.
These terms govern the Client’s initial engagement of Byron Bay Van Fitouts (BBVF), reservation of a project slot, and the design and construction of a custom van or motorhome fit-out.
The initial quote supplied separately with the agreement bundle is an indicative estimate only. It is not a fixed or final Project Price. The scope and price may change as the design, selections, vehicle condition, materials, and supplier costs are confirmed.
BBVF will send the 25% deposit invoice separately through Xero after the agreement bundle is issued. Design begins after BBVF receives the signed agreement and cleared deposit. The final quote and design package will be issued after design and must be signed before physical construction begins.
1. Agreement and project documents
The latest signed final quote and design package record the agreed Project scope and price. These terms govern the engagement. A later written variation prevails where it expressly changes those documents.
2. BBVF services and exclusions
BBVF will provide the design and construction services listed in the signed final quote and design package. Services may include drawings, layout development, material selections, cabinetry, electrical, plumbing, and other listed installations. Only work included in the signed project documents forms part of the Project.
Unless included in writing, the Project excludes mechanical work, engineering certification, bodywork, upholstery, paint, registration approvals, and third-party services.
3. Third parties and vehicle sourcing
BBVF will confirm whether BBVF or the Client contracts with and pays a third-party provider. If the Client contracts directly, that agreement and payment obligation remain between the Client and the provider.
If requested, BBVF will source a vehicle for $2,500 excluding GST. The Client must also pay the vehicle purchase price and all associated costs, including inspections, transport, registration, transfer fees, taxes, and third-party charges. BBVF requires the Client’s written approval before committing to a vehicle purchase or material expense.
4. Client responsibilities
- provide decisions, approvals, payments, and information when requested;
- confirm ownership of the vehicle or authority to approve the work;
- disclose known damage, modifications, defects, hazards, and access limits;
- maintain comprehensive vehicle insurance while the vehicle is at BBVF and provide evidence on request;
- remove valuables and unnecessary personal items before delivery;
- deliver the vehicle at least 14 calendar days before the Estimated Build Start Date; and
- approve changes to scope, price, design, or timing in writing.
BBVF will take reasonable care of the vehicle while it is at the workshop. The Client remains responsible for comprehensive vehicle insurance.
5. Pricing, GST and quote validity
All prices exclude GST unless stated otherwise. GST will be shown separately on invoices. The initial indicative estimate is not a fixed price. After design, BBVF will issue a detailed final quote for written approval.
An estimate may change because of final selections, specifications, material availability, vehicle condition, or supplier costs. Extra work requires an approved written variation. Quotes are valid for 30 days and may be updated after that period.
Approved additional labour by BBVF or subcontractors engaged through BBVF is charged at $150 per hour excluding GST. Materials, third-party charges, and approved administration fees are additional.
6. Payment options
The Client must select one payment option in the signed agreement.
Option A – staged payment plan
- 25% deposit on signing to reserve the project slot and begin design;
- 50% when the final design is approved and procurement begins; and
- 25% after the final quote is signed and before physical construction begins.
No discount applies to the 25% / 50% / 25% staged payment plan. The deposit is non-refundable except where the law requires otherwise. The full Project Price must clear before physical construction begins.
Option B – payment in full before the build
A 5% discount applies if the Client selects this option in writing and the full discounted Project Price clears before physical construction begins. Once physical construction begins, the discount is no longer available and the standard Project Price applies. Payments already made are credited.
The discount applies to the BBVF fit-out price before GST. It excludes vehicle sourcing, the vehicle purchase, third-party costs, and later variations.
7. Invoices and payment delay
Invoices are due within seven days. BBVF may pause design, ordering, scheduling, or construction until cleared funds are received.
A payment delay extends the Project dates by at least the length of the delay and by any additional time reasonably required to reschedule staff, suppliers, or workshop space.
Where a payment delay disrupts the programme or workshop booking, BBVF may charge a $1,500 restart fee, a $500 per week holding fee, and reasonable direct costs caused by the delay. BBVF will give written notice of the costs and revised timing.
8. Design revisions and variations
Three design revision rounds are included. A revision round is one consolidated set of Client feedback on a design issue. Small clarifications that do not materially affect cost, scope, or timing are included.
Each additional revision round costs $250 excluding GST. A custom design package outside the included design service costs $2,500 excluding GST.
Before chargeable revisions, custom design, or other variations begin, BBVF will issue a written variation stating the change, price, and timing effect. Work begins only after written Client approval.
9. Communication and approvals
WhatsApp may be used for updates, photos, and preference clarifications. A change to scope, price, design, or timing requires a written variation confirmed by email, electronic signature, or another agreed written method.
The Client must respond to approval requests promptly. BBVF may revise the programme and recover reasonable direct costs caused by a delayed response after giving written notice.
10. Design and construction conditions
Design begins after BBVF receives the signed agreement and cleared 25% deposit. BBVF will then issue the final design package and final quote for signature.
BBVF is not required to begin physical construction until the final design and quote are signed, the vehicle has arrived, the Estimated Build Start Date has been reached, and the full Project Price has cleared.
11. Estimated programme and vehicle delivery
The Estimated Build Start Date and Estimated Completion Date are planning estimates only and are not guaranteed dates.
BBVF may revise either estimate because of variations, late decisions or payments, late vehicle delivery, hidden vehicle conditions, supplier or subcontractor delay, workshop scheduling, staff availability, or events beyond BBVF’s reasonable control. BBVF will notify the Client of a material change and provide a revised estimate.
The vehicle must arrive at least 14 calendar days before the Estimated Build Start Date for inspection, measurements, pre-build checks, and workshop preparation.
If the vehicle is late or the Client is not ready, BBVF may reallocate the reserved slot and provide the next available estimated start date. The Client is responsible for resulting delay and reasonable additional costs.
12. Client cancellation
The Client may cancel in writing. On cancellation, BBVF will charge 40% of the latest quote accepted by the Client in writing, plus all material and labour costs already incurred or committed for the Project.
Payments already received, including the deposit, will be credited against the final cancellation account. The deposit is non-refundable except where the law requires otherwise.
BBVF will issue a final account showing the cancellation amount, material and labour costs, payments received, and the balance due or surplus to be refunded.
13. Suspension and termination by BBVF
BBVF may suspend or end the agreement if the Client materially breaches it and does not correct the breach within seven days after written notice, or if the requested work would be unsafe or unlawful.
Amounts due up to the termination date remain payable. BBVF will provide a final account and refund any surplus after permitted deductions.
14. Completion, payment security and handover
BBVF will notify the Client when all work in the agreed scope and approved variations is complete and the vehicle is ready for final inspection. All agreed work must be 100% complete before handover.
Handover occurs only after final inspection and after all amounts due have cleared, including variations, delay costs, holding fees, and any selected extended warranty.
To the extent permitted by law, BBVF may exercise a possessory lien and retain the vehicle, keys, and completed fit-out until every amount due is paid in full. The Client may not collect or remove the vehicle while an amount remains unpaid. Ownership of the Client’s vehicle remains with the Client.
15. Workmanship warranty
BBVF provides a 12-month workmanship warranty from handover. To make a claim, contact BBVF with a description of the issue and, where possible, photographs. BBVF will assess the issue and repair covered workmanship within a reasonable time.
Assessment and repairs are generally performed at the BBVF workshop. The Client must return the vehicle unless the law requires otherwise.
The warranty excludes normal wear and tear, misuse, unauthorised modifications, environmental damage, unrelated vehicle faults, and third-party items not supplied by BBVF.
At collection, the Client may decide whether to purchase one additional year of workmanship warranty for $2,500 excluding GST. This extends the warranty from 12 months to 24 months total from handover. It must be paid in full at collection and cannot be purchased after handover. The same claim process and exclusions apply.

16. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or compensation for its reduced value.
You are also entitled to choose a refund or replacement for major failures with goods.
If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified within a reasonable time. If this is not done, you are entitled to a refund for the goods and to cancel the service contract and obtain a refund of any unused portion.
The BBVF workmanship warranty is additional to these rights. Manufacturer and third-party warranties will be passed on where available.
17. Promotional use and confidentiality
By signing the agreement, the Client consents to BBVF photographing and filming the vehicle and Project and using that content for its portfolio, website, social media, advertising, and other promotional purposes without further payment.
BBVF will not publish the Client’s name, contact details, address, or vehicle registration without separate permission.
Each party must keep the other’s non-public personal, commercial, and project information confidential, except where disclosure is reasonably required to staff, contractors, suppliers, professional advisers, insurers, or by law. BBVF’s permitted promotional use is not a breach of this clause.
18. Resolving concerns
Either party may give written notice of a concern and the outcome sought. A decision-maker from each side will meet or speak within 10 business days and try in good faith to resolve it.
If the concern remains unresolved, either party may contact NSW Fair Trading, apply to NCAT where available, or use another legal remedy. This does not limit urgent relief or a statutory right.
19. Document priority and general operation
These terms replace earlier terms and conditions for the Project.
A change to the agreement is effective only when agreed in writing by both parties. Electronic signatures and counterparts are permitted.
If a term is unenforceable, the remaining terms continue to operate to the extent possible. A delay in exercising a right is not a waiver. Nothing in these terms excludes a right or guarantee that cannot lawfully be excluded.
20. Governing law
The agreement is governed by the laws of New South Wales, Australia, subject to any mandatory rights available to the Client.
21. Definitions
Client means the person or entity engaging BBVF under the signed agreement.
Project means the design and fit-out described in the signed final quote and design package.
Project Price means the BBVF fit-out price in the signed final quote, as changed by approved written variations.
Estimated Build Start Date and Estimated Completion Date mean the planning estimates recorded in the signed agreement.
BBVF means Byron Bay Van Fitouts Pty Ltd, ABN 54 677 625 802, of 50 Skinners Shoot Road, Byron Bay NSW 2481.
